1. Introduction
These Terms and Conditions ("Terms") govern access to and use of the E-MagicBooks digital platform, including all applications, websites, services, content and digital products owned and operated by Pen to Paper Writers Ltd ("Company," "we," "us," or "our").
By accessing, registering, downloading or using E-MagicBooks, you ("User," "you," or "your") agree to be legally bound by these Terms under the laws of the Republic of Kenya. If you do not agree with these Terms, you must immediately discontinue use of the platform.
2. Platform Description
E-MagicBooks is a digital reading and publishing platform that allows users to:
- Purchase and access digital books and educational materials
- Read content through mobile or web applications
- Manage a personal digital library
- Engage with content provided by Pen to Paper Writers Ltd and approved authors/publishers
The Company reserves the right to modify, expand or discontinue any feature without prior notice.
3. Eligibility and User Registration
3.1 Users must be of legal age as constituted in the laws of their jurisdiction. Minors MUST access the platform under parental or guardian supervision.
3.2 To access certain features, users must register an account using accurate and complete information including:
- Full name
- Valid phone number (including M-Pesa-linked number where applicable)
- Email address (if required)
3.3 Users are responsible for maintaining confidentiality of their login credentials.
3.4 The Company reserves the right to suspend or terminate accounts that provide false information or engage in fraudulent activity.
4. Account Security
Users are fully responsible for:
- Maintaining confidentiality of their credentials
- All activities conducted under their account
- Immediate notification of unauthorized access
The Company shall not be liable for any loss resulting from unauthorized account access.
5. Payments and Commercial Terms
5.1 Payments on the platform may be made via:
- Approved payment gateways such as mobile money service providers
- Debit/Credit cards
- Third-party payment processors (e.g., PayPal, Pesapal or similar services)
5.2 All payments are processed through third-party providers and the Company does not store full payment credentials.
5.3 Prices of digital books and services are set by the Company or authorized publishers and may change without notice.
5.4 Commission Structure: Where applicable, the Company may deduct a commission from sales proceeds before remitting earnings to authors or publishers under separate agreements.
5.5 Transaction failures caused by third-party providers are not the responsibility of the Company.
6. Digital Content and License
6.1 All books and digital content on E-MagicBooks are licensed, not sold.
6.2 Upon purchase, users are granted a limited, non-exclusive, non-transferable, revocable license to access content for personal use only.
6.3 Users shall NOT:
- Copy, reproduce, distribute or resell content
- Share purchased materials with third parties
- Modify or create derivative works from platform content
- Attempt to bypass security or DRM systems
6.4 The Company reserves the right to remove or restrict content at any time.
7. Intellectual Property Rights
7.1 All intellectual property rights in the platform, including but not limited to source code, software architecture, databases, UI/UX design, branding and logos, and system functionality remain the exclusive property of Pen to Paper Writers Ltd.
7.2 All content created by the Company remains protected under Kenyan Copyright Law and international intellectual property treaties.
7.3 Unauthorized use of any Company intellectual property is strictly prohibited and may result in legal action.
8. Author and Third-Party Content
8.1 Authors retain ownership of their original works unless otherwise agreed in writing.
8.2 By uploading content to E-MagicBooks, authors grant the Company a worldwide, royalty-bearing or royalty-free license (as per agreement) to distribute and sell their content.
8.3 The Company is not responsible for accuracy, originality or legality of third-party content but reserves the right to remove any infringing material.
9. Refunds and Cancellation Policy
9.1 All digital purchases are generally non-refundable once accessed or downloaded.
9.2 Refunds may only be considered in cases of:
- Duplicate payment
- System billing errors
- Unauthorized transactions verified by the Company
9.3 No refunds will be issued for change of mind or dissatisfaction with content.
10. User Conduct
Users agree NOT to:
- Engage in piracy or illegal distribution of content
- Attempt to hack, reverse engineer or disrupt the platform
- Upload malicious software or harmful content
- Use the platform for fraudulent or unlawful purposes
- Harass, abuse or impersonate other users or Company staff
Violation of these rules may result in immediate termination of access and possible legal action.
11. Third-Party Services
The platform integrates third-party services including payment processors and infrastructure providers. The Company:
- Is not responsible for downtime or failures of third-party systems
- Does not guarantee uninterrupted service from external providers
- Is not liable for delays or losses arising from third-party actions
Users are also bound by the terms of those third-party providers.
12. Data Protection and Privacy
12.1 The Company complies with the Kenya Data Protection Act, 2019.
12.2 We collect and process: personal identification information (name, phone number, email), transaction data, and usage and device information.
12.3 Data is used for account creation and management, payment processing, service improvement and analytics, and legal compliance.
12.4 We do not sell personal data to third parties.
12.5 Users have rights to access their data, request correction or deletion, and withdraw consent where applicable.
13. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for:
- Loss of data or content
- Financial losses due to third-party payment failures
- Service interruptions or downtime
- Unauthorized access due to user negligence
- Errors or inaccuracies in third-party content
Use of the platform is at the user's own risk.
14. Termination of Access
The Company reserves the right to suspend or permanently terminate user accounts if:
- There is violation of these Terms
- Fraudulent or illegal activity is detected
- Misuse of the platform is identified
- Required by law or court order
Upon termination, access to purchased content may be revoked without refund where legally permissible.
15. Modifications to Terms
The Company may update or modify these Terms at any time. Users will be notified through in-app notifications, email (where applicable), and platform announcements. Continued use of the platform constitutes acceptance of updated Terms.
16. Governing Law and Dispute Resolution
These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Kenya. Any disputes shall be subject to negotiation in good faith and, if unresolved, arbitration or Kenyan courts of competent jurisdiction.
17. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
18. Platform Operation, System Integrity and General Protections
18.1 The Company reserves the full right to operate, maintain, modify, suspend or discontinue any part of the E-MagicBooks platform at its sole discretion, with or without notice.
18.2 The Company may perform scheduled or emergency maintenance that may temporarily limit or suspend access. The Company shall not be liable for any inconvenience or interruption caused by such maintenance.
18.3 The Company reserves the right to investigate and take appropriate action against any activity suspected to compromise the integrity, security or performance of the platform, including unauthorized access attempts, automated scraping, fraudulent transactions, abuse of system vulnerabilities, and distribution of malware.
18.4 Users agree not to interfere with or disrupt the normal functioning of the platform, including its servers, networks or security systems.
18.5 The Company may introduce new features, restrictions, pricing models or service changes at any time. Continued use constitutes acceptance of such changes.
18.6 The Company does not guarantee that the platform will always be error-free, uninterrupted or compatible with all devices or operating systems.
18.7 Any failure or delay by the Company to enforce any provision of these Terms shall not be interpreted as a waiver of its rights.
18.8 The Company reserves the right to cooperate with law enforcement authorities or regulatory bodies in Kenya or internationally where required by law, including disclosure of user information where legally compelled.
19. Physical Products (E-Commerce Functionality)
19.1 E-MagicBooks may offer users the ability to purchase physical books and printed materials through the platform in addition to digital content.
19.2 All physical product orders are subject to availability, confirmation and fulfillment by Pen to Paper Writers Ltd or its authorized logistics partners.
19.3 Users acknowledge that physical books may vary in appearance, edition or packaging due to printing batches or stock availability, provided that the correct title and content are delivered.
20. Order Accuracy and User Responsibility
20.1 Users are solely responsible for ensuring that all order details are correct before completing payment, including book title, edition or version, format, quantity, and delivery details.
20.2 The Company shall not be liable for losses arising from incorrect user input at the point of order confirmation.
21. Delivery and Shipping Policy
21.1 The Company offers delivery services within Kenya and may, at its discretion, support international shipping to selected countries.
21.2 Delivery timelines are estimates only and may vary depending on location, stock availability, courier schedules, and external factors including weather, strikes or customs delays.
21.3 Standard delivery timelines within Kenya shall typically range between 2 to 10 working days, unless otherwise stated at the point of purchase.
21.4 Risk of loss or damage to physical products passes to the user upon dispatch from the Company's warehouse or appointed fulfillment center.
21.5 The Company shall not be liable for delays caused by third-party courier services or customs authorities.
22. Returns, Refunds and Exchanges (Physical Books Only)
22.1 Returns or exchanges for physical books are only accepted under the following conditions:
- The wrong item was delivered (Company error)
- The item received is physically damaged upon delivery
- The item is materially different from the order confirmation
22.2 Users must report any issue within 24 hours of delivery, supported with clear evidence (including photos where applicable).
22.3 No returns or exchanges shall be accepted where the user ordered the wrong book, the product has been used or damaged after delivery, or the return request is based on change of mind.
22.4 Approved replacements shall be issued at no additional cost, subject to stock availability. Refunds shall be processed through the original payment method or an alternative method determined by the Company.
23. International Transactions and Currency Conversion
23.1 E-MagicBooks may allow users to transact in different currencies depending on their location and available payment gateway.
23.2 Where payments are made in currencies other than Kenyan Shillings (KES), the applicable exchange rate shall be determined by the payment processor or the prevailing market rate at the time of transaction.
23.3 The Company shall not be responsible for exchange rate fluctuations, additional charges imposed by banks or payment providers, or currency conversion fees.
24. General E-Commerce Limitations
24.1 The Company makes reasonable efforts to ensure product availability but does not guarantee uninterrupted stock of all listed items.
24.2 The Company reserves the right to cancel orders due to stock unavailability, substitute items with equivalent editions (with user consent), or refuse orders suspected of fraud or misuse.
25. Breach of Terms and Legal Enforcement
25.1 Any user found to violate, infringe, abuse or attempt to compromise the integrity of the E-MagicBooks platform shall be deemed in material breach of this agreement.
25.2 The Company reserves the right to take appropriate action including suspension or permanent termination of access, restriction of services, recovery of damages, and reporting the matter to relevant law enforcement authorities.
25.3 The Company shall cooperate fully with law enforcement agencies, regulators and third-party rights holders in investigating and prosecuting unlawful activity.
26. Account Access and Device Limitation
26.1 Each E-MagicBooks account is strictly personal and may only be accessed by a single user at any given time.
26.2 The Company may implement a one-device-per-account access policy. Simultaneous login or active use of the same account on multiple devices is not permitted unless expressly authorized by the Company.
26.3 Where multiple device logins or concurrent sessions are detected, the Company reserves the right to automatically log out one or all devices, temporarily restrict account access, suspend or review the account, or terminate the account in cases of repeated abuse.
26.4 Users are strictly prohibited from sharing account credentials with third parties or allowing unauthorized access to their accounts.
26.5 The Company shall not be liable for any loss, interruption, or inconvenience arising from enforcement of this device limitation policy.
